1. Acceptance of Terms

These Terms of Use constitute a legally binding agreement between you and ASODEM. By registering an account, taking a practice test, purchasing a certification exam, or otherwise using our platform, you confirm that you have read, understood, and agree to these terms.

We reserve the right to update these terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the updated terms.

2. Eligibility

To use ASODEM you must:

• Be at least 13 years of age
• Provide accurate and complete registration information
• Not have a previously suspended or terminated account on our platform
• Have the legal capacity to enter into a binding agreement in your jurisdiction

3. Account Responsibilities

When you create an account with ASODEM, you are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access to your account at support@asodem.com
• Ensuring your account information is accurate and up to date

You may not share your account with others or allow others to take exams on your behalf. Doing so constitutes fraud and will result in immediate account termination and certificate revocation.

4. Exam Rules and Integrity

ASODEM is committed to maintaining the integrity of our certification process. By taking any exam on our platform, you agree to the following rules:

• You must take the exam yourself without assistance from any person or external resource
• You may not use search engines, books, notes, or any other reference materials during a certification exam
• You may not attempt to copy, record, screenshot, or reproduce exam questions
• Switching browser tabs, minimizing the browser, or leaving the exam page during a certification exam will trigger a warning and may result in automatic submission of your exam
• You may not attempt to manipulate or circumvent the exam system in any way

Violation of these rules constitutes academic dishonesty. ASODEM reserves the right to revoke any certificate issued as a result of dishonest conduct without refund.

5. Payments and Refunds

Certification exams on ASODEM require a one-time payment per attempt. The following payment terms apply:

• Payment must be completed before a certification exam attempt is unlocked
• Each payment covers exactly one exam attempt for the specified course
• If you fail an exam, you must pay again to attempt the same certification
• If an exam is auto-submitted due to tab switching, time expiry, or other security triggers, the attempt is considered used and no refund will be issued
• All payments are processed securely through Paystack

Refund Policy: Refunds are only considered in cases of verified technical failure on our end that prevented you from completing your exam. Refund requests must be submitted within 48 hours to support@asodem.com with supporting evidence.

6. Certificates

Certificates issued by ASODEM are subject to the following terms:

• A certificate is issued only upon passing a certification exam with the required pass mark
• Each certificate is assigned a unique, publicly verifiable certificate ID
• Certificates are the property of ASODEM and are issued as a license to the certificate holder
• ASODEM reserves the right to revoke a certificate at any time if there is evidence of exam fraud, misrepresentation, or violation of these terms
• You may share, display, and use your certificate for personal and professional purposes
• You may not alter, falsify, or misrepresent the contents of your certificate in any way

7. Intellectual Property

All content on the ASODEM platform including but not limited to course content, exam questions, design, logos, and software is the exclusive property of ASODEM and is protected by copyright law.

• You may not reproduce, distribute, or create derivative works from any platform content without explicit written permission
• You may not scrape, crawl, or use automated tools to extract content from our platform
• Exam questions are confidential and may not be shared publicly in any format

8. Prohibited Conduct

You agree not to engage in any of the following:

• Creating fake accounts or impersonating other persons
• Using the platform for any unlawful purpose
• Attempting to hack, exploit, or compromise the security of the platform
• Posting or transmitting harmful, offensive, or misleading content
• Interfering with other users enjoyment of the platform
• Attempting to reverse-engineer any part of our software

9. Disclaimer of Warranties

ASODEM is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or completely secure.

While our certificates are designed to be credible and verifiable, ASODEM does not guarantee that any employer, institution, or third party will accept or recognize our certificates for any specific purpose.

10. Limitation of Liability

To the fullest extent permitted by law, ASODEM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of data, loss of revenue, or loss of opportunity.

11. Account Termination

ASODEM reserves the right to suspend or terminate your account at any time for violation of these Terms of Use. Upon termination:

• Your access to the platform will be immediately revoked
• Certificates obtained through fraudulent means will be revoked
• No refunds will be issued for payments made prior to termination due to violations

12. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Referral Program

ASODEM operates a referral program that allows eligible individuals and institutions ("Referral Partners") to earn a payout for students they refer to the platform. Participation is optional and governed by the additional terms below, which apply on top of the rest of this Terms of Use.

13.1 Eligibility and Enrollment

• Any user with an active, verified ASODEM account may apply to become an individual Referral Partner by opting in through the Referral Program page and accepting these terms.
• Institutional partnerships (schools, training centres, or organizations) are established directly by ASODEM and are not self-service. Institutional partners are onboarded with individually negotiated terms.
• ASODEM may, at its discretion, grant an individual Referral Partner institution-level terms without that partner being a formal institution. This does not change the individual's obligations under this section.
• ASODEM reserves the right to accept or decline any application to the referral program without obligation to give a reason.

13.2 Referral Codes and Attribution

• Each Referral Partner receives a unique referral code and link. A referred student is attributed to whichever Referral Partner's code they use at the moment of registration only. This attribution is permanent and cannot be changed by the student or the Referral Partner.
• A student who registers without a referral code, or with an invalid or inactive code, is not retroactively attributed to any Referral Partner at any later date.
• ASODEM reserves the right to manually reassign a student's attribution in limited, genuine cases (such as a confirmed transfer between institutions), at its sole discretion.

13.3 Payouts

• Individual Referral Partners earn a flat, one-time reward when a referred student successfully completes their registration payment. No further reward is earned from that student's subsequent exam or certificate payments.
• Institutional and institution-level Referral Partners earn a flat reward on both the referred student's registration payment and each subsequent exam/certificate payment, for as long as the partnership remains active.
• Payout amounts are set by ASODEM and may be changed at any time. A change in payout amount only applies to future transactions and never alters an amount already earned on a past transaction.
• Payouts are disbursed via bank transfer to the payout account the Referral Partner has provided and verified. A payout cannot be processed until a valid payout account has been set up; ASODEM is not obligated to hold or later disburse a payout that could not be processed for this reason.

13.4 Payout Account Details

• A Referral Partner's payout account details may only be changed once every fourteen (14) days, except where ASODEM grants an early-change exception at its discretion.
• The Referral Partner is solely responsible for ensuring their payout account details are accurate. ASODEM is not liable for a payout sent to an incorrect account due to inaccurate details provided by the Referral Partner.

13.5 Deactivation and Opt-Out

• A Referral Partner may opt out of the program at any time. ASODEM may also deactivate a Referral Partner's account at its discretion, including for suspected abuse, fraud, or violation of this Terms of Use.
• While inactive, no further payouts are generated or owed on that Referral Partner's account, even for students previously referred by them. Payouts do not accrue, queue, or become payable retroactively once the account is reactivated.
• Deactivation or opt-out does not remove a student's existing attribution to that Referral Partner.

13.6 Prohibited Conduct

• Referral Partners may not create fake accounts, refer themselves, or engage in any activity intended to artificially generate referral payouts.
• ASODEM reserves the right to withhold or reclaim a payout, and to terminate a Referral Partner's participation, if fraudulent or abusive referral activity is discovered.

ASODEM may update these referral program terms from time to time. Continued participation in the program after changes are posted constitutes acceptance of the updated terms.
